"We/we", "Our/our, "Us/us", "Platform", "Circle8", "the Company" or "the Service Provider" refers to Circle8 Cleantech Private Limited and shall include its successors and assignees. "You/you", "Your/your", "Yourself/yourself" or "the User" shall mean the prospective or existing customer or his/her legal representative and any other user accessing the Site.
This document and any documents referred to within it (collectively, the "Terms of Use", "Terms" or the "Agreement") set out the terms of usage on the platform. Please read and understand these Terms of Use before using our Platform. This document sets forth the legally binding terms and conditions for your use of the Platform.
These Terms of Use are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, and are an 'electronic record' as contemplated under section 2(t) of the Information Technology Act, 2000 read with the rules and any other act that may be applicable. These Terms being an electronic record are generated by a computer system and do not require any signature.
Accessing, browsing, registering or otherwise using the Platform in any manner will be construed as your unequivocal and irrevocable acceptance and acknowledgement to the terms and conditions contained under Terms of Use and binding policies hereof. By using the Platform, you declare to have carefully read, understood and agree to be bound by these Terms of Use. Circle8 may at its sole discretion allow access to the Platform and reserves the right to change any of the terms and conditions contained herein at any point in time and continued use of the platform implies continued acceptance. IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT ACCESS, BROWSE, REGISTER TO AND/OR USE THIS PLATFORM IN ANY MANNER. YOU MAY ALSO REQUEST FOR REVOKING YOUR CONSENT ANY TIME.

Circle8 is a digital platform operated by Circle8 Cleantech Private Limited designed to facilitate transparent, compliant, and efficient Extended Producer Responsibility (EPR) credit transactions under Indian environmental regulations. The platform serves as a digital marketplace and documentation portal for:
Circle8 does not take ownership or liability for the quality or legal standing of the credits traded. The platform functions solely as a compliance facilitation tool and neutral digital intermediary.
By accessing or using the Circle8 platform, including account registration, credit listing, purchasing, documentation, or any other related services, users (including Buyers, Sellers, Recyclers, Brand Owners, and their authorized representatives) agree to be legally bound by these Terms & Conditions.

Unless the context otherwise requires, the following terms shall have the meanings assigned below:
Any individual or entity who accesses, registers, or transacts on the Circle8 platform, including but not limited to Buyers, Sellers, Producers, Recyclers, and other stakeholders.
A registered Producer, Importer, Brand Owner or authorized entity seeking to purchase EPR Credits on the Circle8 platform to fulfill their Extended Producer Responsibility obligations.
An authorized entity such as a registered recycler, co-processor, waste processor or any authorized entity offering verified EPR Credits for sale in compliance with CPCB guidelines and any other laws applicable in force.
Electronic certificates representing the environmentally sound collection, recycling, or processing of a specific quantity of waste, generated and transacted in accordance with laws in force.
Obligated entities are Producers, Manufacturers, Importers, and Brand Owners as defined under Rule of the Plastic Waste Management Rules, 2016; E-Waste (Management) Rules, 2016; Battery Waste Management Rules, 2022; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022; read with any amendments thereto who are legally mandated to fulfill EPR obligations by acquiring eligible EPR Credits.
The online digital platform operated by Circle8 Cleantech Private Limited that enables listing, matching, documentation, and reporting of EPR Credit transactions among registered users.
All tools, features, support, and facilitation offered by Circle8 via the Portal, including account creation, credit listings, documentation, compliance tracking, and reporting tools.
Refers to Circle8 Cleantech Private Limited, a private limited company incorporated under the Companies Act, 2013, operating the digital marketplace for EPR Credit transactions in India.
The Central Pollution Control Board, under the Ministry of Environment, Forest and Climate Change (MoEFCC), Government of India.
Refers to all legal, regulatory, and compliance-related paperwork including recycler certificates, CPCB approvals, invoices, transaction proofs, and supporting evidence required for EPR compliance.
To ensure compliance with applicable Indian environmental regulations and maintain the integrity of transactions on the Circle8 platform, all users are required to undergo a mandatory Know Your Customer (KYC) verification and provide a valid proof of Central Pollution Control Board (CPCB) registration, wherever applicable.
All users (including but not limited to Producers, Importers, Brand Owners (PIBOs), manufacturers, Recyclers, and Co-processors) must submit the following for verification:
Circle8 reserves the right to request additional documentation or certification if necessary to validate the identity and legal standing of any user.
All entities participating in EPR Credit transactions must hold a valid CPCB registration under the Plastic Waste Management Rules, 2016; E-Waste (Management) Rules, 2016; Battery Waste Management Rules, 2022; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022 (as amended).
Entities failing to produce valid CPCB registration details will not be allowed to list, transact, or claim any compliance services through the Circle8 platform. Circle8 reserves the right to get such information verified as may be required.
Upon submission, Circle8 will review and verify all documents within a reasonable timeframe. Approval is subject to validation of information with government databases where necessary. Circle8 may deny or suspend access to the platform for users providing false, outdated, or incomplete information.
To access and use the services provided by Circle8 Cleantech Private Limited. ("Circle8"), users must create an account on the Circle8 platform. The account creation process requires submission of basic company and contact information, completion of KYC verification, and, where applicable, submission of CPCB registration like Consent to Operate and EPR Registration Certificate.
By creating an account, the user affirms that they are authorized to represent the entity and have the legal capacity to enter into binding agreements on its behalf.
Circle8 reserves the right to approve or reject account registrations at its sole discretion without providing any reasons and may also request additional information or clarification during the verification process.
Users are solely responsible for ensuring that all information provided on the Circle8 platform — including company details, contact information, compliance records, and transaction data — is complete, accurate, and up to date at all times.
Any changes in ownership, operational status, registration validity, or legal standing must be promptly updated on the platform. Circle8 will not be held liable for any losses or legal implications arising from incorrect or outdated information provided by the user.
Providing false or misleading information may result in suspension or termination of the user account and may lead to legal action under applicable Indian laws. The user shall also indemnify Circle8 for such breaches and losses.
Users are responsible for maintaining the confidentiality and security of their account credentials, including usernames, passwords, and any authentication methods used to access the Circle8 platform.
Users must not share their login credentials with any unauthorized person or entity. Any actions taken using a user's login credentials will be considered as having been performed by the user themselves.
In the event of unauthorized access, suspected compromise, or misuse of login credentials, the user must notify Circle8 immediately at support@circle8.in. Circle8 will not be liable for any loss or damage resulting from failure to safeguard login information.
Circle8 provides a digital platform that enables Producers, Manufacturers, Importers, and Brand Owners to list their EPR obligations and connect with registered Recyclers and Co-processors offering verified plastic waste recycling services.

Circle8 does not guarantee the availability of credits or the outcome of any transaction and acts only as a technology intermediary.

Circle8 does not independently verify the authenticity of documents submitted by users but may conduct checks to uphold platform integrity by engaging third parties. Final responsibility for accuracy and legal compliance lies with the respective parties.
The platform offers features for real-time tracking and reporting of EPR Credit transactions and status of transactions:
Circle8 may also assist in filing documentation to regulatory bodies upon request, though ultimate responsibility for statutory filings remains with the user.
Use of certain features and services on the Circle8 platform may be subject to service fees. These include the below illustrative list:
All fees will be transparently communicated during the transaction or onboarding process. Circle8 reserves the right to revise its pricing structure with prior notice.
Payments must be made as per the invoice terms, and applicable taxes (including GST). Non-payment of platform fees within the timelines as sated in the invoice may result in account suspension or restricted access to services.
Users agree to use the Circle8 platform only for lawful purposes and in compliance with all applicable Indian laws, including but not limited to the Plastic Waste Management Rules, 2016, , E-Waste (Management) Rules, 2016; Battery Waste Management Rules, 2022; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022; CPCB guidelines, and IT Act, 2000.
Users must not:
Any misuse of the platform or violation of legal requirements may result in suspension or permanent deactivation of the user's account, and could lead to legal action. The user shall also indemnify Circle8 for such breaches and losses.
All transactions conducted on Circle8 must adhere strictly to the Extended Producer Responsibility (EPR) framework set by the Central Pollution Control Board (CPCB).

Circle8 reserves the right to monitor and investigate transactions that appear inconsistent with regulatory norms and will cooperate with authorities in the event of violations.
Users are solely responsible for ensuring timely submission and uploading of all necessary documentation related to EPR Credit transactions. This includes:
Delays or failure to upload required documentation may lead to disqualification of credits and non-recognition by the CPCB. Circle8 is not liable for any penalties or legal consequences arising due to the user's failure to comply with reporting deadlines.
Circle8 operates as a technology platform facilitating Extended Producer Responsibility (EPR) credit transactions and related services. Pricing for services may vary based on the following factors:
Pricing details for each service or transaction will be transparently displayed on the platform. Circle8 reserves the right to update its pricing model.
Circle8 does not support digital payment gateways through the platform. Instead, payment is to be made via NEFT/RTGS bank transfer to the company's bank account, the details of which will be shared with the user on the platform or verified email communication.
After initiating the transfer, users are required to:

All prices quoted on the Circle8 platform are exclusive of applicable taxes, unless specified otherwise.
Non-payment of taxes or failure to comply with invoicing and TDS obligations may result in service disruption or penalties as per Indian tax laws.
Circle8 currently facilitates payment via NEFT/RTGS as shared through verified channels. Circle8 is not responsible for delays, errors, or fraud related to direct bank transfers conducted between Users. In the future, Circle8 may introduce escrow-based or third-party verified payment systems to enhance transaction security. Users agree that Circle8 shall not be liable for any disputes arising from direct payment transfers not routed through such mechanisms.
All users of the Circle8 platform are required to fully comply with the Plastic Waste Management Rules, 2016, , E-Waste (Management) Rules, 2016, Battery Waste Management Rules, 2022, Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016, Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022, (and its amendments), and the Extended Producer Responsibility (EPR) guidelines issued by the Central Pollution Control Board (CPCB).

Failure to comply with CPCB requirements may lead to regulatory action and can result in suspension of access to the Circle8 platform.
Each party transacting on the Circle8 platform—including Producers, Manufacturers, Importers, Brand Owners, Recyclers, and Co-processors—is solely responsible for:
Circle8 may provide tools to assist in documentation but does not independently verify or authenticate uploaded content unless explicitly agreed upon.
Circle8 Cleantech Private Limited functions solely as a technology platform and facilitator for EPR credit discovery, matching, and documentation management.
Circle8 is not a party to any credit sale or purchase transaction and:
All transactions on the platform are conducted at the discretion of the respective parties. Circle8 disclaims any liability arising from misreporting, regulatory penalties, or disputes between users.
All content, features, and functionality on the Circle8 platform—including but not limited to:
are the exclusive property of Circle8 Cleantech Private Limited or its licensors. These materials are protected under applicable intellectual property laws in India and internationally. No part of the platform may be used in a manner that violates Circle8's intellectual property rights without explicit written permission.
Users of the Circle8 platform are strictly prohibited from engaging in any of the following actions:
Violation of any of the above restrictions may result in immediate suspension or termination of user access. Circle8 Cleantech Private Limited also reserves the right to initiate legal proceedings against individuals or entities found to be misusing or infringing upon its proprietary technology or content. The user shall also indemnify Circle8 for such breaches and losses.
Circle8 grants each registered user a limited, non-exclusive, non-transferable, revocable license to use the platform for lawful EPR-related activities in accordance with these Terms. Users are not permitted to sublicense, replicate, exploit, or modify any part of the Circle8 platform without written approval. Any violation of this license will result in immediate suspension and legal action for intellectual property infringement.
All users agree to maintain strict confidentiality regarding any sensitive business, operational, or compliance related data shared through the Circle8 platform. This includes, but is not limited to:
Users agree not to share, disclose, distribute, sell, or replicate any data, analytics, reports, pricing tools, workflows, or proprietary insights accessed through the Circle8 platform for commercial or competitive use. The User also agrees not to reverse-engineer, replicate, or attempt to build similar tools or marketplaces based on Circle8's proprietary processes. Any breach of this clause will attract immediate suspension and may lead to legal action for violation of confidentiality, data misuse, and breach of trust. Circle8 reserves the right to seek injunctive and monetary relief for any such violation.

Circle8 Cleantech Private Limited functions strictly as a neutral technology intermediary that facilitates the discovery, listing, and documentation of EPR Credit transactions between producers, recyclers, and other authorized parties.

While Circle8 may, at its discretion, assist in facilitating communication or providing transaction records, it does not serve as a legal arbitrator and assumes no liability for resolution outcomes.
The Circle8 platform and all related services are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied.
To the fullest extent permitted under applicable law, Circle8 Cleantech Private Limited disclaims all warranties, including but not limited to:

Users assume full responsibility for the use of the platform and any decisions made based on the information or services provided.
Circle8 reserves the right to suspend or permanently terminate access to the platform under the following circumstances:
Termination may be immediate and without prior notice if the breach is deemed serious or deliberate. The user shall also indemnify Circle8 for such breaches and losses.

These Terms & Conditions and any dispute or claim arising from them shall be governed and construed in accordance with the laws of the Republic of India, including all applicable rules and regulations issued under the EPR framework. All disputes, claims, or controversies arising out of or relating to these Terms or the use of the Circle8 platform shall be subject to the exclusive jurisdiction of the courts situated in Mumbai, Maharashtra, India. Users hereby consent to the jurisdiction and venue of such courts and waives its right to raise its dispute in any other court.
If any dispute arises between the parties that cannot be resolved amicably within 30 days, it shall be referred to and finally resolved by arbitration as follows:
Nothing in this clause shall prevent Circle8 from seeking interim or injunctive relief from a competent court to prevent actual or threatened misuse of the platform or its data.
Any claim or cause of action arising out of or related to the use of the platform must be filed within one (1) year after such claim or cause of action arose, failing which it shall be permanently barred.
Unless otherwise directed by the arbitrator, each party shall bear its own legal costs and equally share the administrative fees of arbitration.
Circle8 Cleantech Private Limited reserves the right to modify, update, or revise these Terms & Conditions at any time, in whole or in part, at its sole discretion.
